Richard Char, President Richard Char joined VIPGift as President in October of 2008. Mr. Char’s current leadership responsibilities include: overall product and program direction, development of new loyalty and incentive solutions, and resource allocation and coordination. Prior to joining VIPGift, Mr. Char was the Senior Vice President of Corporate Development and General Counsel of Blackhawk Network from 2006 until 2008. In this role, Mr. Char acted as the Company’s principal strategic planner and was responsible for all of the Company’s acquisitions, investments, joint ventures and strategic alliances. As the chief legal officer at Blackhawk, Mr. Char oversaw the Company’s legal matters, working with a staff of seven lawyers and three paralegals. He also served as Blackhawk’s senior contact with financial analysts, investment banks and private equity firms. Prior to joining Blackhawk Network, Mr. Char was Chief Executive Officer of IC Media, a private semiconductor company which designed and manufactured CMOS image sensors for use in digital still cameras, the camera cell phone market and web cameras. He successfully sold IC Media in 2005. Before his career at IC Media, Mr. Char was the head of Global Executions and served as Managing Director with the Technology Investment Banking Group of Credit Suisse First Boston from March 1999 to January 2002. Prior to joining Credit Suisse First Boston, Mr. Char was Co-Head of Technology Investment Banking at Cowen & Company from 1997 to 1999. Mr. Char began his career at the law firm of Wilson Sonsini Goodrich & Rosati in 1984, becoming the youngest partner in the firm’s history. He practiced corporate and securities law, representing high technology companies for 13 years. In addition to his role at VIPGift, Mr. Char also serves on the Iteris (stock symbol ITI) Board of Directors as well as a number of other private company boards. Mr. Char graduated magna cum laude from Harvard College with a degree in economics, and was awarded the school’s Kronfeld prize in economics. He graduated from Stanford Law School in 1984. Patrick Gildea, Senior Vice President of Finance Patrick Gildea joined VIPGift in October of 2008. Mr. Gildea is responsible for developing strategic relationships, partnerships, acquisitions, as well as budgeting, planning, and forecasting for the Company. From August 2006 through July 2008, Mr. Gildea served as Group Vice President of Corporate Development at Blackhawk Network. Prior to joining Blackhawk, Mr. Gildea served as a Vice President in Silicon Valley Bank’s Investment Banking Division and provided strategic and financial advice to a number of public and private technology companies. Mr. Gildea has also served as Director of Corporate Development for IC Media Corporation, where he was responsible for creating business alliances as well as strategic and corporate marketing for the company. Additionally, Mr. Gildea worked with Credit Suisse First Boston (CSFB) in Japan, significantly growing the firm’s technology investment banking business in that country. Mr. Gildea began his career as an auditor and consultant in Arthur Andersen’s Assurance and Technology Risk Consulting Practice. Throughout his career, he has successfully completed dozens of strategic partnerships, alliances, and closed more than twenty corporate finance/M&A transactions worth more than $13+ Billion. Mr. Gildea is a Certified Public Accountant in the State of California and holds Series 7 and 63 licenses in the US and Japan. He also holds a Bachelor of Science degree in Accounting from the University of Southern California’s Leventhal School of Accounting and a certificate degree in Japanese from Sophia University’s School of Comparative Culture. Mr. Gildea is fluent in spoken and written Japanese. John (Jack) Quigley, Chief Financial Officer Jack Quigley joined VIPGift as Chief Financial Officer in February 2004. Mr. Quigley’s current responsibilities include: Accounting, Treasury, Tax, Internal Audit, Insurance and Human Resource functions. Mr. Quigley began his career in public accounting as an auditor with Price Waterhouse and held financial executive positions at Edison Brothers Stores (Assistant Vice President & Director - Internal Audit), Hospital Management Associates (Vice President - Financial Services), Life Care Centers of America (Senior Vice President - Financial Services) and Trinity Healthcare/United Shields Corporation (Chief Financial Officer) prior to joining VIPGift. Mr. Quigley graduated cum laude with a Bachelor of Science degree in Accounting from St. Louis University and is a certified public accountant. Greg Jones, Senior Vice President of Operations Greg Jones joined VIPGift as Senior Vice President of Operations in February of 2006. Mr. Jones is responsible for leading all operational aspects of the business which includes: Information Technology, Production and Fulfillment, Project Implementation and Customer Service. Prior to joining VIPGift, Mr. Jones spent 13 years as the President of Intelligent Systems and Networking and its subsidiary, New Horizons Computer Learning Center of Chattanooga – a franchise unit of New Horizons. Under his leadership, Intelligent Systems and Networking grew to be the largest systems integrator in the Southeast Tennessee and North Georgia regions. Mr. Jones began his career with the Tennessee Valley Authority, where he spent 13 years serving various positions in the IS department, including Manager of Data Communications and Corporate Planning Director. Mr. Jones has served in several community organizations and is a Board Member of the Chattanooga Area Chamber of Commerce. Mr. Jones has a Bachelor of Science degree in Computer Science and a Master of Business Administration degree from the University of Tennessee at Chattanooga. Curtis Shelton, Chief Information Officer Curtis Shelton joined VIPGift as Chief Information Officer in March of 2008. Mr. Shelton is responsible for guiding the direction of the Information Technology department at the Company. Prior to joining VIPGift, Mr. Shelton was Vice President of Technology Operations at Accretive Commerce. In this role, Mr. Shelton was responsible for consolidating datacenters and building a robust infrastructure to support the company’s aggressive growth. When Accretive Commerce was successfully sold to GSI Commerce in 2007, Mr. Shelton led the IT transition and integration efforts into the GSI organization. From 2001 to 2005, Mr. Shelton was the Director of Infrastructure and Operations for SI Corporation based in Chattanooga, TN and re-engineered the infrastructure to support a multi million dollar SAP implementation. Prior to his career at SI Corporation, Mr. Shelton held the position of Data Center and Integrated Service Center Director at IMS Health-Strategic Technologies. In this role, Mr. Shelton built and managed a data center and support center which serviced over 45,000 remote sales representatives in the Pharmaceutical industry. From 1990 to1998, Mr. Shelton was the MIS Director for the Southern Region at Jacobs Engineering, where he led the integration effort for multiple acquisitions as well as the start up of four new locations. Mr. Shelton holds a Bachelor of Business Administration degree from National University and a Master of Business Administration degree from Capella University.
